TRANSACTION SUMMARY
The combined value of transactions which have completed since Pemberstone was taken private exceed £235 million.
January 2006 The sale of a commercial property investment in Newcastle-upon-Tyne City centre comprising a 30,000 sq.ft. office block which had been acquired by Pemberstone along with a residential portfolio in 2001.
November 2005 The acquisition by Westmoor Homes Limited of a further 3.66 acre site in Crewkerne, Somerset for the construction of 24 new homes.
November 2005 Co-ordinating for Zenosis a private placing by way of a further equity fundraising exercise and supporting it with a further investment.
October 2005 The sale of a multi-let modern office premises in Stockton-on-Tees known as Richard House, comprising 17,000 sq. ft. The property had been acquired by Pemberstone along with adjacent residential blocks in 2001.
October 2005 The provision of further funding towards Pemberstone's joint venture which acquired the industrial property investment at Swindon in 2001, to assist with the development works at the premises.
September 2005 The provision of further equity funding to Framework Group Limited to assist with an acquisition by the company and its development of new premises to cater for the company's growth.
August 2005 Synthotec Limited (in which Pemberstone holds a majority stake) entered into an agreement with a municipal authority in Northern Slovakia to source a 2.5 acre industrial site for new factory premises for the business' strategic growth. Pemberstone worked with Synthotec's senior management team and is to provide funding resources as the project progresses.
August 2005 The sale of a commercial investment property comprising factory premises leased to Interframe which had been retained when Interframe was sold in December 2003 and the Group's other investments were realised.
July 2005 A further investment in Zenosis Limited, following the initial investment in May 2004 and rights issue in December 2004, by way of underwriting a further rights issue by the company.
June 2005 The purchase of Maxim Industries Limited, a busines based in North Manchester, via an acquisition of its entire issued share capital from private vendors. Maxim operates as a supply business for European customers outsourcing machined and assembled engineering components from Asian manufacturers.
June 2005 The sale of an industrial estate in Weston-Super-Mare which, when it was acquired in 2002, was a vacant former shoe factory. Refurbishment work and other development was subsequently undertaken and the premises let to various occupiers including a Renault dealership whose bespoke new premises were constructed for them by the landlord. The developed premises when sold comprised 89,000 sq. ft. with a rent roll in excess of £400,000.
April 2005 The formation of a joint venture known as Cranmoor Homes to pursue residential development opportunities and house building projects in South and Mid-Wales. The business had two initial sites in respect of approximately 30 new homes.
April 2005 The sale of a freehold residential investment block of 12 apartments in Southampton which had been acquired by Pemberstone in 2000 by means of a forward sale from the developer.
March 2005 The sale of a student accommodation block in Salford known as Tramways which was leased to Cosmopolitan Housing Association.
February 2005 The purchase by LGG Charlesworth Limited of a business known as Talisman Plastics via an acquisition of its entire issued share capital. Pemberstone provided corporate finance and management support for the project, a funding package as well as arranging for the transfer to another part of Pemberstone's group of a long leasehold property which was surplus to the acquired business' requirements.
December 2004 A further investment in Zenosis Limited, following the initial investment in May 2004, by way of an underwriting of a rights issue by the company.
December 2004 The commencement of building work for the development of 52,000 sq.ft. of new office accommodation at Pemberstone's head office site at Whittington Hall
October 2004 The sale of an investment portfolio of 258 residential properties, comprising retirement and open market units, subject to assured and assured shorthold tenancies. A number of units were situated in blocks whose reversions Pemberstone has retained.
July 2004 The acquisition of a student accommodation block in Salford, Manchester comprising 228 residential units. The block was subject to, and with the benefit of, a long term lease back to Cosmopolitan Housing Association.
June 2004 The purchase of a retail investment property in Broad Street, Ludlow leased to the Coates Viyella Group.
May 2004 An investment in Zenosis Limited, a business which provides know-how support services to the pharmaceuticals industry. This was part of a second round of funding aloowing the founding of the company in 2002.
May 2004 The provision of a structured equity and loan finance package to The Real Georgian Bar Company Limited, a manufacturer of components in the PVCu double glazing industry.
April 2004 The sale of the business of Mainstay Residential to its management team pursuant to a four-year buy-out structure. The business had been formed from Pemebrstone's in-house residential property management team but had by completion of the transaction generated a large and diverse external client base whilst retaining Pemberstone's management work as a significant client.
February 2004 Scout Solutions, a business which Pemberstone founded with a joint-venture partner, succeeded in securing a 7 year e-commerce outsourcing contract with HM Government's Office of the Deputy Prime Minister. Pemberstone provided management and financial support to Scout Soultions in connection with its bid andin its initial funding and management of the new business.
December 2003 The obtaining of planning permission for the development of a further 52,000 sq.ft of office accommodation at Whittington Hall, Worcester on the site of Pemberstone's own head office. This followed an appeal to a Planning Inspector held in November 2003.
December 2003 The realisation of the Group's interests in Interframe Limited, the Devon based windows manufacturer to which Pemberstone had provided funding in connection with its management buy-out and subsequent expansion. The transaction proceeded along with the trade sale of the company.
November 2003 The sale to David Wilson Homes of a 4.2 acre residential development site in Stafford with the benefit of planning permission (obtained by Pemberstone) for the construction of apartments and town houses.
August 2003 The incorporation of a commercial property joint venture in the South West and the acquisition by it of 16,000ft 2 of modern tenanted industrial premises.
August 2003 The sale of three licensed leisure commercial investments at Hartlepool Marina .
July 2003 The acquisition of a portfolio of residential shared equity investments.
July 2003 The purchase and lease back to the vendor of a 10,000 sq. ft. factory and office premises in Malvern .
June 2003 The purchase via Westmoor Homes of a further 4.68 acre residential development site at Callington in Cornwall with planning permission for 22 new homes.
June 2003 The forward purchase of a 26,000 sq. ft. superstore development being undertaken in Stroud by David McLean Developments including the benefit of a pre-let with Homebase plc.]
April 2003 The forward purchase of a further ground rent portfolio from the Crosby Group totalling 6 new residential and mixed use developments totalling approximately 353 residential units.
April 2003 The purchase and lease back to the vendor of a 75,000 sq. ft. factory in Kirkby-in-Ashfield, Nottinghamshire. The transaction was entered into to facilitate a purchase, by way of a management buy-in, of the vendor/tenant company, William Rodgers (Foods) Limited from a US group.
March 2003 The incorporation of Westmoor Homes Limited, a joint venture formed to carry out house building projects in the South West of England, and the acquisition of the company's first site, a 0.6 acre site at Seaton in Devon, with planning permission for 17 new homes. Pemberstone continues to hold a majority stake in the business.
March 2003 The letting of 62,000 sq. ft. of factory premises at Warmley, Bristol.
March 2003 The acquisition of a majority holding in Synthotec, a manufacturer of synthetic bearing cages via injection moulding. The business has a national and international customer base.
January 2003 The letting of a 41,000 sq. ft. industrial building at Weston-super-Mare to a furniture company forming part of a UK based group, plus further lettings of smaller units at the site.
January 2003 The sale of a 0.25 acre commercial development site at a business park in Warmley, Bristol to a locally based investor.
December 2002 The forward purchase of the freehold reversionary interests to a further 2 developments carried out by the Crosby Group totalling 164 residential units.
October 2002 The sale of a 1 acre residential development site in Bromsgrove to Persimmon Homes.
August 2002 The acquisition of a 4,000 sq. ft. investment property in Ludlow town centre leased to Lloyds TSB and used as the Bank's Ludlow branch.
July 2002 The acquisition of a residential investment portfolio of 8 apartments in Harrogate which are held for letting on the open market.
June 2002 The acquisition for development and refurbishment of an 8.5 acre vacant industrial site in Weston-super-Mare comprising 85,000 sq. ft. of factory premises.
May 2002 The acquisition of a portfolio of commercial investment properties comprising a 1.2 acre site with a 12,000 sq.ft. office building in Ludlow leased to GPU, a 24,000 sq.ft factory and office premises in Malvern, a 2.7 acre site in Redditch with 21,000 sq.ft. of offices leased to Norwest Holst and a newly built commercial unit of approximately 10,000 sq.ft. near Bristol least to Consignia plc as a post office sorting depot.
May 2002 The letting of a 25,000 sq. ft. industrial unit in Swindon to an automotive engineering company, part of a Japanese group, and the letting of a further 2,500 sq.ft. of offices at the premises.
April 2002 The forward purchase of a ground rent portfolio comprising reversionary interests in 27 new residential and mixed use developments carried out by the Crosby Group totalling over 2,000 residential units.
February 2002 The sale of a portfolio of 424 apartments in the North East of England to Paramount Homes, the market rent division of The Home Group Limited, a Newcastle based housing association
February 2002 The sale of a development site in Lydney to a locally based house builder with the benefit of detailed planning permission for residential development.

July 1999 The sale to BPT plc of 20 newly built apartments at Beaufort Homes’ Adventurers Quay development forming part of the Cardiff Bay regeneration programme.
June 1999 The forward purchase from Bellway Homes of 24 new build apartments at a development in the Fallowfield suburb of South Manchester.
May 1999 The forward purchase from Gleeson Homes of 21 newly converted apartments at Cornish Place in Sheffield together with the freehold to the entire development. The scheme, which is a residential redevelopment of a former cutlers works, is a pioneering urban regeneration project with a riverside frontage near Sheffield City Centre comprising over 100 houses and apartments.
